Strong draft. One ask — can we soften section 2? 'Fell short' will get quoted back to us. Maybe 'performed within expectations given the provider delay'?

旧方式の比較は書き、直後に "but it is a miss" で閉じる。

I'm asking the board to approve ..." / "it held traffic on alerts our own monitoring did not confirm" / "This is not a regression, but it is a miss."
C is cheaper over three years ... We are not recommending it now for two reasons." / "B buys us time"
Pass means ..." / "If B fails, we will not sign ..." / "in the brochure, not in the contract"
2: "I'd keep it." / "that gap becomes the story" / "the number has to stay"

ANCHORPOINT SYSTEMS · BOARD PRE-READ · CONFIDENTIALMeeting: 15 Dec 2026 · Item 4 (decision)

Business case BC-2026-03: Closing the split-signal gap in regional failover

1. The ask

I'm asking the board to approve $84k a year, from January 2027, to move Meridian Probes to its 15-second reporting tier. It is the cheapest option that can meet the 120-second failover clause in Halden Pay's renewal draft ($3.1M ARR, 7.8% of revenue) before their contract ends on 31 March.

2. What happened, including where we fell short

The verification layer went live on 16 November. Twice since then, on 19 November and 2 December, it held traffic on alerts our own monitoring did not confirm. The old system would have moved traffic both times.

On 28 November it fell short. During a real regional outage, our own monitoring declared the region down, but the provider's status feed did not agree for another 95 seconds. With the two signals split, the system waited for Meridian, and traffic moved after 2 minutes 21 seconds: 21 seconds over the two-minute cap we presented to investors on 12 November. About 6,800 payment requests failed and were retried by merchants. The old system would have taken an estimated 2 minutes 38 seconds. This is not a regression, but it is a miss, and investors will see it in the January update, as promised.

The cause is the risk Derek Lau raised: our six test runs never included a provider delay this long. Meridian reports every 60 to 150 seconds, and in a split, that interval is our failover time.

3. Options

A. Do nothingB. Meridian 15-second tierC. Build our own external probes
Cost$0$84k/yr, 12-month term$96k once + $24k/yr
Worst case in a split2:21 observed~75s (vendor figure, untested)~60s (design estimate)
Ready—late January, after re-testmid-March at best
Meets Halden by 31 MarchNoYes, if the re-test passesUnlikely
Main riskCannot sign the clauseStill one outside vendorOur probes can fail together with our own monitoring

4. Why B, and why not C yet

C is cheaper over three years ($168k against $252k) and faster on paper. We are not recommending it now for two reasons. It cannot be built and tested before Halden's deadline. And a probe we build and run is not truly independent of our own monitoring: the same team, deploy pipeline and configuration mistakes could take both down at once. B buys us time to answer that properly. We will bring C back to the board in Q2 2027, with B's real-world data.

5. What this does not fix

B shortens the wait in a split; it does not prevent splits. When the provider's feed is late, we still depend on one outside vendor. Our 99.99% commitment to customers does not change.

6. How we will know — decided now

In the week of 11 January we will re-test with the same three criteria as November, plus one new case: the provider's feed delayed by 95 seconds, as on 28 November. Pass means every run under two minutes. If B fails, we will not sign the 120-second clause, and Marcus Bell will offer Halden 180 seconds by 29 January.

7. What would change this recommendation

  • If Meridian will commit to 15 seconds only in the brochure, not in the contract, we choose C and ask Halden to move the clause back one quarter.
  • If Halden drops the clause, B is still worth paying for only if another split happens before Q2. If none does, we will revisit it then.

Strong draft. One ask — can we soften section 2? ... Maybe 'performed within expectations given the provider delay'?
You (Priya Anand)16:51
I'd keep it. The board will also read the January investor update, and if the pre-read reads softer than what investors see, that gap becomes the story. "Within expectations" isn't accurate either: we set the cap, and we missed it. What I can change is the tone. I'm happy to replace "fell short" with "missed the cap by 21 seconds" if that reads better to you, but the number has to stay.

2
条件つきの最上級 — "the cheapest option that can meet ... in time"。
4
NDA の線を守る — "the provider's status feed did not agree for another 95 seconds" は自社の観測だけ。"
5
"This is not a regression, but it is a miss" — 旧方式の比較は取締役が必ず聞く事実。書いたうえで "but it is a miss" で閉じ、言い訳で終わらせない。
6
投資家との差を作らない — "investors will see it in the January update, as promised"。
7
原因に批判者の名前 — "The cause is the risk Derek Lau raised"。
8
表の数字に出所を書く — observed/vendor figure, untested/design estimate。
10
技術的な理由を非技術者の言葉で — 「相関のある故障」を "the same team, deploy pipeline and configuration mistakes could take both down at once" と名詞3つで。
11
12
パート2は断ってから代案 — "I'd keep it."

a miss未達。
in a split意見が割れたとき。
reads softer(文章が)柔らかく読める。"
that gap becomes the storyその差が話題の主題になる。

21 seconds over the two-minute cap"。
責任は "it is a miss" で十分

"performed within expectations given the provider delay"不採用。
"We sincerely apologize for failing to meet ..."
採用: すべて書き "This is not a regression, but it is a miss."

Basic
"We want to buy a better Meridian plan. It costs $84,000. On November 28, the failover took 2 minutes 21 seconds. It was a little slow. Option B is the best."
↓
B2
"We propose upgrading Meridian to the 15-second tier for $84k per year. On 28 November, failover took 2:21, which exceeded our two-minute target due to a delay in the provider's feed. We recommend Option B because it can be ready before Halden's renewal."
↓
C1
"I'm asking for $84k a year to move Meridian to 15-second reporting — the only option we can test before Halden's 31 March deadline. On 28 November we missed our two-minute cap by 21 seconds. The old system would have been slower still, but we told investors two minutes, and they'll hear about this in January."
"The layer did its job twice and missed once. The miss matters more: 2:21 against a cap we put in front of investors. That the old system would have done worse is true and beside the point. Our six test runs never asked the question that 28 November did — what happens when the provider is slow to agree — and this request is how we start answering it."
  • "We'd rather spend $84k now than explain a second miss in April." —
  • "This is a bridge, not a destination." —
