"Congratulations on the board approval — genuinely. So: Pulse-15 at one-thirty-two a year, which is exactly your eighty-four uplift. That price assumes a twenty-four-month term; twelve months is list plus fifteen. Activation is within fifteen business days of signature. And if we get the paper signed by the twenty-third, I can make all of this happen before the holidays."
"On latency, I'll be candid. Our p95 detection-to-publish last quarter was fourteen seconds across all Pulse-15 customers. But we don't put latency in SLAs. Nobody in this market does — it's availability. If the numbers are that good, why do you need it in writing?"
"And the exit clause — I have a real problem with that. It's your test, your pass criteria, your failover code. If your logic is slow, we eat the cancellation. And honestly, is this about one particular customer contract? Tell me who, and maybe we can help you with them directly."
"Okay, here's where I can land. Twelve months at one-thirty-two. Latency goes into Exhibit B: p95 under thirty seconds, monthly, ten percent credit if we miss. Exit only if our own timestamps show we were out of spec during your test window. Activation January fourth. Standard language otherwise. And I'd like a case study once you're live."

Thanks, Marcus, Freya. Let me start with where we are, because it decides what I can say yes to today. On Tuesday our board approved an eighty-four-thousand-dollar uplift — as a twelve-month commitment, starting in January. On January twenty-sixth they'll ask me two questions: what did the money buy, and what happens if it doesn't work. Everything we agree today has to answer both. So beyond price, I need three things in the paper. One, a fixed activation date — January fourth — so our re-test on the twentieth runs on the new tier with two weeks of data. Two, a latency number in the contract, not just in your docs. Three, a way out if January shows the tier doesn't do what it says. If we can close those today, I can get you a signature by the twenty-third.
"... That price assumes a twenty-four-month term; twelve months is list plus fifteen. Activation is within fifteen business days of signature ..."
Thank you — and the twenty-third works for us too, so let's use it. Two things in what you said don't fit what I have. First, the term. The board approved a twelve-month number. Twenty-four months is a different decision. It isn't mine to make, and going back to the board means we miss your twenty-third. List plus fifteen for twelve months isn't a number anyone here has approved either. So I'm asking for one-thirty-two over twelve months, flat. Second, the start date. Fifteen business days from the twenty-third, across Christmas and New Year, lands on January eighteenth — two days before our re-test. I need January fourth, written as a date, not a formula.
"... fourteen seconds across all Pulse-15 customers. But we don't put latency in SLAs ... why do you need it in writing?"
Fourteen seconds is exactly why I'm asking. You're right that availability is the norm, and I'm not asking you to change your SLA model. I'm asking for a ceiling, not a target: p95 detection-to-publish under thirty seconds, per calendar month, measured on your own timestamps — observed-at to published-at. That's more than twice what you say you deliver today, so it shouldn't cost you any extra capacity. In other words, I'm asking you to write down a number you already beat by half. As for why it needs to be in writing: my board approved money based on a number from your documentation. A number in a brochure is a description. A number in a contract is a commitment. I'm accountable for the difference.
"... It's your test, your pass criteria, your failover code ... is this about one particular customer contract? Tell me who ..."
That's a fair objection, and I'll take it. You shouldn't pay for our failover code. So let's narrow it. The exit applies only if your own timestamps show p95 above thirty seconds during the test window — January fourth to twentieth. If your numbers are in spec and our re-test still fails, that's on us, and we keep paying. On the customer question: I'm not going to name customers or describe their terms. You'd expect the same discretion about Meridian. What I can tell you is that we make commitments to our own customers that rest on this number. That's why it can't live only in your docs.
"... Exit only if our own timestamps show we were out of spec ... Activation January fourth. Standard language otherwise. And I'd like a case study once you're live."
That's close, and most of it I can accept now: twelve months at one-thirty-two, thirty seconds in Exhibit B, January fourth, and the exit measured on your timestamps. I won't negotiate the ten percent. Credits aren't what this is about. But "standard language otherwise" includes "sole and exclusive remedy," and one phrase undoes the rest. Read literally, it turns the exit we just agreed into a credit. So I need two carve-outs. One: the January exit survives. Two: if you miss thirty seconds in two consecutive months, or three in any twelve, we can end the uplift and go back to the standard tier. Credits can stay the sole monetary remedy. On the case study: that's Hannah's call, and our counsel's. I'll put it to them by January eighth with my recommendation — but not as part of this deal.
Let me read back what I have — stop me if any word is wrong. Agreed: Pulse-15 at one hundred thirty-two thousand a year, twelve-month term. Activation on January fourth, as a date. Exhibit B: p95 detection-to-publish under thirty seconds per calendar month, on Meridian's timestamps, ten percent credit. Exit from the uplift by January twenty-ninth if Meridian's p95 is above thirty seconds between January fourth and twentieth, paying only January's uplift — and that exit survives the sole-remedy clause. Still open: termination for two consecutive misses, or three in twelve. Marcus, you'll come back to me by Monday the twenty-first, noon UK time. If that lands, Grace can sign on the twenty-third. I'll send this summary within the hour.

(3) "sole and exclusive remedy"

- Fisher & Ury, Getting to Yes(1981) — BATNA
